Bylaws of the Organisation uBuntu Base

§1 Name of the Organisation:

Ubuntu Base is an organisation that promotes African culture in Sweden.
This is done through community-based cultural expression such as dance, music, food, and various activities.
The organisation’s name is rooted in the Ubuntu philosophy, which means "I am because we are", emphasizing unity and solidarity among all people regardless of age, identity, or background.

§2 Domicile:

The organisation is based in Stockholm.

§3 Purpose:

The organisation shall operate as a non-profit entity with the following purpose:

To support and contribute to the Swedish cultural scene by creating safe spaces for African cultural expression, especially shared experiences in dance and music. The aim is to promote integration and cultural exchange and to support the personal development of children, youth, and adults through creative tools.
This includes offering courses, workshops, cultural events, exchanges, and collaborations with other cultural organisations. Ubuntu Base is founded on democratic values and aims to strengthen them by involving its members in the organisation. Ubuntu Base is politically and religiously independent and works toward a multicultural society. All forms of discrimination within the organisation are contrary to its core values.

§4 Membership:

Membership in uBuntu Base is voluntary. Any individual who shares the goals and values of the organisation may become a member. Membership is granted by the board. Applications may only be rejected if it is deemed that the applicant would act against the organisation’s purpose and interests. In the case of a rejected application from a minor, the parents shall be contacted to reach an understanding. Withdrawal from the organisation must be made in writing via email: info@ubuntubase.se. A member is considered to have left once removed from the membership register. A disloyal member or one who harms the organisation may be expelled by board decision at the annual meeting. Such decisions are communicated via the above email.

§5 Membership Fee:

0 SEK

§6 Fiscal Year:

January 1st – December 31st

§7 Annual Meeting:

An annual meeting shall be held once per year. Members are invited via email or WhatsApp at least two weeks in advance. Members are free to submit motions but do not have voting rights. Final decisions are made by the board. Motions for the annual meeting must be submitted to the board at least one week in advance.

§8 Organisation Meetings:

Organisation meetings may be called when deemed necessary by the board.
Notice shall be given via email or WhatsApp at least two weeks before the set date.

§9 Decision-Making Bodies:

The decision-making bodies of the organisation are: the annual meeting, the organisation meeting, and board meetings. The annual meeting appoints the board, consisting of three regular members. The chairperson is appointed at the annual meeting. Other roles are distributed within the board. All three members must be present at the annual meeting.

§10 Voting:

The board is quorate when all members are present. Decisions must be unanimous; all board members must agree for a decision to be valid. Each board member has one vote on all matters.

§11 Auditor:

Appointed at the annual meeting.

§12 Amendments to the Bylaws:

Amendments to these bylaws require a decision at the annual meeting or, if necessary, an organisation meeting.
Such decisions are valid only if approved by all board members.

§13 Distribution of Assets Upon Dissolution:

If the organisation is dissolved, all remaining assets shall be used in the best possible way to support the Afro-Swedish community in Sweden. The decision on distribution can only be made by the board.

§14 Auditors:

An auditor will be appointed at a later time when required by regulation.

§15 Right to Sign on Behalf of the Organisation:

The organisation's signatory power is held by two board members jointly or individually, or by one or more specifically appointed individuals. Anyone delegated authority to represent the organisation must report back to the board.

 

These bylaws were adopted at the organisation meeting on August 19, 2024.
